Please read these Terms of Service carefully before using MAI. By creating an account or using the Service in any way, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use the Service.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MAI ("MAI," "we," "us," or "our") governing your access to and use of the MAI platform, website, mobile interfaces, APIs, and all associated services (collectively, the "Service").
By registering for an account, clicking "Agree," accessing any part of the Service, or using any feature of MAI, you expressly agree to these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a revised date and, where appropriate, via email. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
MAI is an AI-powered music platform that provides tools including, but not limited to: sheet music generation from song links and audio references, music translation between instruments and clefs, AI image scanning of physical scores, a music AI chat assistant, vibe-based composition, creative composition tools, community posting and discovery, and an interactive audio-enabled sheet music viewer.
The availability and scope of features depends on your subscription plan (Free, Starter, or Pro). We reserve the right to add, modify, or discontinue any feature at any time with or without notice, though we will make reasonable efforts to communicate significant changes in advance.
The Service relies on third-party artificial intelligence models and infrastructure. AI-generated outputs — including sheet music — are probabilistic in nature and may contain errors, inaccuracies, or omissions. We do not warrant that any AI-generated content will be musically accurate, complete, or suitable for any particular purpose.
You must be at least 13 years of age to use the Service. If you are under the age of 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly permit children under 13 to register.

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, including if we have reason to believe that information provided is false, misleading, or violates these Terms.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
We reserve the right to monitor use of the Service for compliance with these Terms and to investigate any suspected violation. Violations may result in immediate account termination and, where appropriate, referral to law enforcement authorities.
Your ownership of outputs. Subject to your compliance with these Terms and any applicable laws, MAI grants you a non-exclusive, royalty-free license to use, download, and share sheet music and other content generated through your use of the Service for personal, non-commercial purposes. If you hold an active paid subscription, you may also use outputs for limited commercial purposes such as performance and educational use, provided you do not resell the raw outputs or represent them as professionally published works without appropriate attribution.
Copyright and third-party works. When you provide a song link, audio file, or other copyrighted reference to generate sheet music, you represent that you have the legal right to do so. MAI generates sheet music as an original AI composition inspired by the referenced material; it does not reproduce or copy protected sheet music. You are solely responsible for ensuring that your use of any generated output complies with applicable copyright laws. MAI is not a substitute for obtaining proper licensing for performances or publications.
MAI's intellectual property. All rights, title, and interest in and to the Service — including its software, codebase, underlying AI models, branding, trademarks, trade dress, visual design, documentation, and all technology — are and remain the exclusive property of MAI and its licensors. These Terms do not grant you any rights to our intellectual property except the limited license expressly stated herein.
Feedback. If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant MAI a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit such Feedback in any manner without any obligation to you.
The Service allows you to post, share, and publish sheet music to the MAI community ("User Content"). By posting User Content, you represent and warrant that:
By posting User Content, you grant MAI a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, display, distribute, and make available such User Content in connection with operating and improving the Service.
We reserve the right (but not the obligation) to review, remove, or restrict any User Content at our sole discretion, including content we deem inappropriate, infringing, or in violation of these Terms. We do not endorse or take responsibility for User Content posted by other users.
Plans. MAI offers a Free plan and paid subscription plans (Starter and Pro), billed either monthly or annually. Plan features and pricing are described on our Pricing page and are subject to change with notice.
Billing. Paid plans are billed in advance at the beginning of each billing cycle. By subscribing, you authorize us (or our payment processor) to charge your payment method on a recurring basis until you cancel. You are responsible for providing and maintaining accurate payment information.
Free Trial. Where a free trial is offered (currently 30 days on the Starter monthly plan), no payment information is required to start. If you do not cancel before the trial ends, your access will revert to the Free plan. We reserve the right to modify or discontinue free trial offerings at any time.
Upgrades and Downgrades. You may upgrade your plan at any time; upgraded features become available immediately. Downgrades take effect at the end of your current billing period. You will not receive a prorated refund for the unused portion of a downgraded plan unless required by law.
Cancellations. You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period; you retain access to paid features until that date. We do not offer refunds for partial billing periods, except where required by applicable law.
Failed payments. If payment fails, we will attempt to notify you and retry. If payment cannot be collected within a reasonable period, your account may be downgraded to the Free plan or suspended until payment is resolved.
Taxes. You are responsible for any taxes, duties, or government charges applicable to your use of the Service. Prices shown may or may not include applicable taxes depending on your jurisdiction.
You may delete your account at any time by contacting us at support@mai.music. Upon deletion, your data will be handled in accordance with our Privacy Policy.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or if your continued use poses a risk to other users or the Service. In the event of termination for cause, no refund will be issued for any prepaid subscription fees.
Upon termination, all licenses granted to you under these Terms immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will survive.
We respect intellectual property rights and expect our users to do the same. If you believe that content available through the Service infringes a copyright you own or control, please send a written notice to support@mai.music containing the following:
We will respond to valid DMCA notices promptly and may remove or disable access to infringing material. We may also terminate accounts of repeat infringers.
The Service may integrate with or link to third-party services, websites, or tools (such as YouTube, payment processors, or audio libraries). We are not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms and conditions.
Where the Service involves processing YouTube links or other external content, your use must comply with the terms of the relevant third-party platform. MAI does not download, host, or reproduce copyrighted audio.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF MAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MAI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID TO MAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
The limitations in this section apply regardless of the legal theory (contract, tort, strict liability, or otherwise) on which the claim is based. Some jurisdictions do not allow the limitation of liability for certain damages, so some limitations may not apply to you.
You agree to indemnify, defend, and hold harmless MAI and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Governing law. These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict-of-law principles.
Informal resolution. Before initiating any formal legal proceeding, you agree to first contact us at support@mai.music and attempt to resolve any dispute informally. We will make reasonable efforts to resolve the dispute within 30 days.
Binding arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in a court of law. Arbitration will be conducted on an individual basis; you waive any right to participate in a class action lawsuit or class-wide arbitration.
Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, and nothing in this section shall preclude either party from pursuing such relief.
Time limit. Any claim arising out of or relating to these Terms must be brought within one (1) year of the date on which the claim accrued, or it will be permanently barred.
Entire agreement. These Terms and our Privacy Policy constitute the entire agreement between you and MAI regarding the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations, including in connection with a merger, acquisition, or sale of assets.
Force majeure. We shall not be liable for any failure to perform our obligations where such failure results from causes beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure outages, or third-party service failures.
No agency. These Terms do not create any partnership, joint venture, agency, or employment relationship between you and MAI.
